Confirmation statement
Every company, including dormant and non-trading ones, must file a confirmation statement at least once every 12 months.source It confirms that what Companies House holds about the company is right. Here's how the deadline works, what it costs and what you need before you file.
Check your company's deadline
Search by company name or number to see the next confirmation statement and accounts dates, and how many days are left.
When it's due
Your review period ends 12 months after the company was incorporated (for the first statement) or 12 months after your last confirmation statement date.source You can file up to 14 days after the review period ends. You can also file early, but then you choose a new confirmation statement date.source
| Company incorporated | 10 March 2026 |
|---|---|
| First review period | 10 March 2026 to 9 March 2027 |
| Last day to file | 23 March 2027 (14 days later) |
Confirmation statement fee
You only pay with the first confirmation statement in each 12-month payment period, so filing an extra one to report a change costs nothing more.source For every other filing fee, see Companies House fees.
What you confirm or update
You must file even if nothing changed during the review period.source Some changes have to be filed separately before the statement; others go on the statement itself.

You'll also give a registered email address if you haven't already (it isn't published)source, and state that the company's intended future activities are lawful.source
Identity verification comes first
Companies House won't accept a confirmation statement until every director has verified their identity: each director's personal code goes on the statement.source Existing directors give their code with the company's next confirmation statementsource, so verify well before your filing date: an unverified director stops the statement being filed. See where to find your personal code and the identity verification guide.
How to file your confirmation statement
File online with Companies House, which needs your Companies House password and company authentication code, or send paper form CS01 by post.source
- Make sure every director has a Companies House personal code.
- File any changes to officers, PSCs, registered office or email first.
- Sign in, review the details shown, update the SIC code or shareholders if needed, and confirm.
- Pay the fee if it's the first statement in your payment period.
If you file late
Missing the deadline is a criminal offence by the company and every officer in default.source The company can be fined up to £5,000 and may be struck off the register.
