How to change a company name

Changing your company's name is a filing with Companies House. The company, its number and its contracts stay the same; only the name changes. Here are the two ways to do it, what it costs, and what to update afterwards.

1. Check the new name is available

The new name has to follow all the rules for company namessource: it can't be the same as an existing registered namesource and normally still ends in "Limited" or "Ltd".source

2. Agree the change

A company can change its name by special resolution, or by any other method its articles of association provide for.source

MethodWho decidesForm
Special resolution Shareholders, with at least 75% of the votessource Online, or paper form NM01 with a copy of the resolutionsource
Method in the articles Whatever the articles say, for example a directors' decision Paper form NM04source

The online service only handles changes by special resolution.source The resolution must reach Companies House within 15 days of being passed.

3. File and pay

Paper form£30
Same-day service£85

One older GOV.UK guide still shows £83 for the same-day service; the Companies House fees page and the NM01 form page both say £85. See all Companies House fees.

4. When the new name takes effect

The new name applies from the date Companies House issues the new certificate of incorporationsource, which shows the new name and the date it was registered.source The change doesn't affect any of the company's rights or obligations, or legal proceedings by or against it.source

5. Update everything else

Frequently asked questions

How long does a change of name take?
The change takes effect on the date Companies House issues the new certificate. A same-day service is available for an extra fee.
Does changing the name change the company number?
No. It's the same company with the same number. Its rights and obligations, such as contracts, debts and bank accounts, carry on unaffected.
Can I change to any name I like?
The new name must follow all the usual rules: it can't be the "same as" an existing name, and sensitive words need permission. Check the new name first.
Do I need to tell HMRC?
You may need to. Companies House shares some changes, but check what HMRC needs, for example for VAT and PAYE records.
What is a special resolution?
A decision of the shareholders that needs at least 75% of the votes. Many small companies pass it as a written resolution signed by the shareholders.
